Inseego Corp., trading publicly on the NASDAQ under the ticker symbol INSG, has officially announced the successful completion of its acquisition of Nokia’s Fixed Wireless Access (FWA) business. The transaction, which was initially made public to the markets on April 30, 2026, marks a transformative milestone for Inseego, dramatically reshaping its market position, operational scale, and technological capabilities within the global wireless broadband sector.
The completion of this strategic deal is projected to approximately double Inseego’s overall revenue, catapulting the company into the upper echelon of global wireless broadband leaders. By integrating Nokia’s sophisticated portfolio of indoor, outdoor, and millimeter-wave FWA solutions into its existing wireless broadband offerings, Inseego has substantially broadened its market reach. The expanded product suite is designed to serve a diverse spectrum of connectivity needs across both consumer and enterprise markets, allowing the company to deliver robust, high-speed broadband solutions tailored to modern digital demands.
Beyond bolstering its product portfolio, the transaction significantly extends Inseego’s international operational footprint. The company now reaches major telecommunications carriers and service providers across Europe, the Middle East, Asia, Oceania, and the Americas. This wide-ranging market penetration is paired with a substantial enhancement of Inseego’s internal engineering and technical capabilities, positioning the organization to innovate more rapidly and respond more effectively to the evolving requirements of global telecom operators.
To support this massive expansion in scale and geographic reach, approximately 250 highly skilled personnel associated with the acquired Nokia business are integrating into Inseego’s operations. These professionals span vital operational disciplines, including engineering, product management, supply chain management, sourcing, and customer support. The group comprises individuals officially joining Inseego as direct employees, as well as dedicated Nokia personnel who will continue to support the transition and ongoing business operations under a comprehensive transition services agreement.
Managing a truly global enterprise requires localized infrastructure, and Inseego has enacted a series of strategic organizational adjustments to accommodate its newly acquired operations. The company has established a new international headquarters located in Amsterdam, providing a centralized hub for its European and global management activities. In addition, Inseego has set up a specialized development center in Athens, Greece, significantly scaled up its operational presence in Bangalore, India, and deployed dedicated customer-facing sales and technical resources across all of its newly acquired regional markets to ensure seamless service delivery and client engagement.
The financial and equity structure of the transaction, which was finalized alongside the operational integration, involves significant collaboration between Inseego and Nokia. Under the precise terms of the acquisition agreement, paired with a concurrent $10 million cash investment in Inseego made by Nokia, the Finnish telecommunications giant has received a notable equity ownership stake in Inseego. This stake is represented by approximately 1.9 million shares of Inseego common stock, which equates to an approximately 11 percent ownership interest in the company. Furthermore, Nokia has been issued warrants providing the right to purchase an aggregate of up to approximately 0.8 million additional shares of common stock, set at an exercise price of $4.26 per share.
In addition to these foundational transaction terms, Nokia has committed to providing an extra $10 million cash payment to Inseego, scheduled to be delivered by October 15, 2026. This additional capital is earmarked specifically to support Inseego’s ongoing engineering investments over the coming year. The funding is intended to drive the deep interoperability of Inseego’s proprietary device operating system and cloud management platform with select technology ecosystems belonging to Nokia, ensuring a unified, high-performance experience for telecommunications operators deploying the combined product portfolio.
