Specifically, shareholders will receive $27.00 in cash for each share of Iridium common stock they own at the time of closing. In addition to the cash component, stockholders will be awarded a specific number of shares of Rocket Lab common stock. This equity portion is calculated pursuant to a predetermined exchange ratio that remains subject to a specified collar mechanism designed to manage market volatility risks. When calculated under the terms of the agreement, the transaction carries a notional value of $54.00 per share of Iridium common stock, representing a substantial valuation for the company’s investors.
